It is recognized that The Most Excellent Grand Chapter of Royal Arch Masons of Florida is a body politic and corporate created and existing by virtue of Chapter 28326, Laws of Florida, Acts of 1953 and it and all particular Chapters Masonically chartered by it, are corporate bodies subject to laws governing corporations so created and existing in Florida.
These duties include but are not limited to forming a mission statement, long range fiscal planning, preparing and balancing a budget and filing Corporation documents with the State of Florida.
In the Laws Rules and Regulations Chapter 6, section 6.01 the Grand High Priest is referred to as the Chief Executive Officer and in Chapter 8, section 8.01 the Treasurer is referred to as the Chief Financial Officer. The only thing missing is a Board of Directors.
Therefore, I hereby Order that there be established a Corporate Board Committee and that this committee follows these guidelines:
Jurisdiction and Powers
The Grand High Priest, Grand King, Grand Scribe are hereby designated as corporate officers and together with the Grand Treasurer, the Grand Secretary and two appointees as hereafter set forth are hereby designated as the Corporate Board Committee of The Most Excellent Grand Chapter of Royal Arch Masons of Florida in its corporate character, which Corporate Board Committee may be referred to as the Corporate Board.
The Grand High Priest shall be the Chairman of the Corporate Board and the Grand King shall be the Vice-Chairman of said Board.
The Grand Treasurer shall be the Chief Financial Officer and Treasurer of the Corporation and the internal auditor of all claims and orders for the disbursement of corporate funds and shall be responsible for pre-audit of all such claims and orders. When in doubt as to the legality or validity of any such claim or order the Grand Treasurer shall not make payment thereof pending appeal to and decision by majority vote of the membership of the Corporate Board. The Corporate Board shall prescribe the procedure for such appeals and the disposition thereof.
The Grand Secretary shall, ex-officio, be Secretary to, but not a member of the Corporate Board. In the event the Grand Secretary shall be, for any reason, unable to attend his duties as Secretary to the Corporate Board, the Board may designate a member of said Board to act as Secretary. Full and complete minutes of the proceedings and actions of the Corporate Board shall be made and signed by the Grand High Priest and by the Secretary or acting Secretary and shall be filed in the office of the Grand Secretary.
The two appointive members of the Corporate Board, one of which shall be a Past Grand High Priest, shall be appointed by the Grand High Priest for a term of one year.
The Grand High Priest and any three other members of the Corporate Board shall constitute a quorum. All decisions and actions by said Board shall be by majority vote, which majority shall and must include the Grand High Priest. There shall be no proxy voting.
In the event of a vacancy arising by death, resignation, removal or any other cause of an appointive member of the Corporate Board the Grand High Priest shall appoint a successor to serve the remainder of the term of such appointive member.
The Grand Chapter Seal, as kept by the Grand High Priest, shall be the Corporate Seal of the Corporate Board.
Grand High Priest Supreme in Fraternal Matters
In all purely fraternal matters, as hereinafter designated, the Grand High Priest is the supreme authority and in corporate matters, as hereinafter designated, the Corporate Board is the supreme authority. In the recess of the Grand Chapter all executive powers of the Grand Chapter of fraternal character vest with the Grand High Priest and all powers of the Grand Chapter of corporate character vest with the Corporate Board.
Corporate Board Committee Powers
All financial affairs of the Grand Chapter are hereby declared corporate in character and the Corporate Board is hereby declared to be and constituted the Budget Commission of the Grand Chapter and is hereby vested with all the powers and duties of such Budget Commission of the Grand Chapter and all programs, projects, activities, functions and operations of the Grand Chapter of a financial nature or character are hereby declared to be under the supervision of the Corporate Board and to be administered by such Board in accordance with this Constitution and the Regulations of the Grand Chapter.
All programs, projects, activities, functions and operations carried on or directed by and under the jurisdiction of the Corporate Committee as set forth, defined and prescribed in and by the terms of and provisions of Article XII of this Constitution are hereby declared to be corporate in nature and character to wit: Per Diem, Finance & Budget, Auditing, Finance and Investment. All other standing committees as prescribed in Article XII, Section 4 of this Constitution are deemed to be Fraternal.
Except as provided for elsewhere in the Constitution the Grand High Priest shall appoint all Corporate Committees.
Powers, Duties and Limitations of and on the Corporate Board Committee
The Corporate Board shall also have the following powers, duties and authority and be subject to the limitations, restrictions and prohibitions enumerated herein:
Make recommendations for legislation fixing the fiscal year of the Grand Chapter.
No Committee shall be approved or appointed whose operation, meetings or functions will require expenditure of Grand Chapter funds without specific appropriation therefore and approval by the Corporate Board, which approval must be recorded.
During the recess of the Grand Chapter, the Corporate Board shall supervise the financial affairs of the Grand Chapter and shall administer the same in accordance with the budget approved at the Annual Convocation and the Constitution and Regulations of the Grand Chapter.
The Corporate Board shall cause to be set up the Budget Accounts in the books of the Grand Chapter immediately after the close of each Grand Convocation.
The members of the Corporate Board and any authorized agent of such Corporate Board shall have access to the records of every Officer, agent, committee and board handling moneys of the Grand Chapter, or having supervision of any Grand Chapter function with reference to finances.
The Corporate Board shall have authority during the recess of the Grand Chapter to set up such temporary sub-accounts as may be necessary for the keeping of clear and accurate records of all receipts and disbursements for which an account is not already provided.
The Corporate Board is hereby vested with authority to invest and reinvest current income funds, budgeted funds and reserve funds in savings accounts or in obligations of the United States of America, maintaining only sufficient checking account balances in the depositories to meet current demands.
The Corporate Board shall develop and supervise insurance affecting Grand Chapter properties and employees and make arrangements to implement the same.
The Corporate Board shall provide for minutes of every meeting to be properly recorded, which shall include copies of each and every order by number, as issued by them, and make written report to the Grand Chapter each year.
The Corporate Board is hereby invested with the authority to do all things necessary and proper to the full exercise of the power and authority provided for herein.
Emergency Expenditures
When in recess of the Grand Chapter an emergency or contingency that could not reasonably been foreseen or anticipated and which requires immediate expenditure of funds, reserve or otherwise not budgeted for such emergency or contingency that the Corporate Board may meet in called meeting and by vote of at least three members and the Grand High Priest , recorded in the minutes of the meeting together with full statement of material facts as to the emergency or contingency, may transfer necessary funds of the Grand Chapter to a special and/or sub-account to meet the needs raised by the emergency or contingency. All records and facts relevant to such proceedings shall be reviewed by the Jurisprudence Committee and reported to the Craft thereon.

On Thursday, April 15th, the newly elected officers of the Grand Chapter Royal Arch Masons of Florida were installed at the 163rd Installation of Officers.
Most Excellent Companion Anthony Marotta, Jr was installed as Grand High Priest, Right Excellent Companion Robert Kirkpatrick was installed as Grand King, Right Excellent Companion Calvin Bonnett was installed as Grand Scribe.
Right Excellent Companion Richard Foreman, MIPGM was re-installed as Grand Treasurer, and Right Excellent Companion Dencel Smith, MIPGM was installed as the new Grand Secretary. As a demonstration of their respect the Companions of the Grand Chapter elected Most Excellent Steven Q. Steele, PGHP as Grand Secretary Emeritus.

Excellent High Priest Charles T. Jones is pleased to Announce and Invite all Royal Arch Masons to attend and share in the Celebration of the Craft at the next Convocation of Gainesville Chapter No. 2 R.A,M. on Tuesday, March 16th, 2010. The ceremonies of the Antient Craft Table Chapter Convocation will be held at the Gainesville Shrine Club, 8100 SW Archer Road, Gainesville, FL 32608 beginning at 7:00 p.m. Registration will begin at 6:00. The cost is $18.00 for a fine meal of steak and trimmings. Chicken is also available for special orders. The chef’s for the occasion are the Shrine Club members, our Brothers. Dispensation has been given for this special event by our Most Excellent Grand High Priest, Darryl A. D’Angina.
In addition to the well known conviviality of the special occasion in welcoming newly Exalted Royal Arch Masons; recognizing those whom have attained particular thresholds of membership and those who have otherwise distinguished themselves in Freemasonry and the community; endearing themselves to us through and within our ancient and honorable Craft; we will have the opportunity and occasion to show our appreciation.
Additionally, our guest speaker for the evening is R.W. Brother and Companion Danny Griffin of Orange Park and Jacksonville Chapter No. 12 R.A.M. You may recall that he is a candidate for the Grand South in our M.W. Grand Lodge. This occasion offers quite an opportunity to visit with him and get to know him better, investigating his ideas and proposals for our future in Freemasonry in Florida.

The Homecoming of Most Excellent Companion Darryl A. D’Angina, Most Excellent Grand High Priest of the Most Excellent Grand Chapter of Royal Arch Masons of Florida, was held at the Jacksonville Marriott Hotel on Saturday, February 6, 2010. A wonderful turnout of Companions, Sir Knights, ladies and guests enjoyed a superb dinner, fellowship, and entertainment in the form of roasts, plaudits and “tall stories” regarding our M. E. Grand High Priest.

WHEREAS: In accordance with the Constitution, of the Grand Chapter of Royal Arch Masons of Florida, Appendix A, Uniform Code of Bylaws, Article XIII, many companions are suspended for nonpayment of dues each year, and
WHEREAS: It is beneficial to the Particular Chapters and the Grand Chapter of Florida that these Companions be encouraged to again become an active member of Royal Arch Masonry, and
WHEREAS: Membership is one of our important goals.
NOW, THEREFORE, I, James P. Rudman, M.E. Grand High Priest of the Grand Chapter Royal Arch Masons of Florida, do hereby order and declare:
1. That during the period from April 28, 2008 until April 8, 2009, a period of amnesty is declared for all Royal Arch Masons suspended from their respective Chapter or Chapters for non-payment of dues. Any particular Chapter in our Grand Jurisdiction that desires to reinstate a suspended Companion without payment of past dues, may do so by adopting the attached Resolution, which adopted Resolution must be returned to the Grand Secretary’s office over the Seal of the Chapter, in order to be effective. And, if adopted, I hereby waive the p rovisions of Article XIII concerning the payment of past Per Capita Tax. Provided that each such Companion shall make application for reinstatement to the Chapter which suspended him and, at the time of such application, shall pay the dues (not prorated) in that Chapter for the current year. He may likewise renew membership in any other Chapter or Chapters to which he belonged at the time of his suspension, by notifying such other Chapter or Chapters of his reinstatement under the provisions of this Executive Order and by paying his dues in such Chapter or Chapters for the current year. If he chooses to be reinstated only in the Chapter which suspended him, he may do so, and shall notify the other Chapter or Chapters from which he was likewise suspended of his reinstatement and decision not to renew his membership in such other Chapter or Chapters.
2. That an application for reinstatement to the Chapter which suspended him shall be presented at a Stated Convocation, and follow the usual course. The Secretary shall report the action of the Chapter in the Chapter’s monthly report and to all other Chapters in the District.
3. That each High Priest will see that a list of all members of his Chapter, suspended for non-payment of dues during the past five (5) years, is sent to the Grand Secretary’s Office. The Grand Secretary will then send a blank application for reinstatement, together with a copy of this Executive Order, to each affected member.
4. That every Chapter shall use its best efforts to contact all companions entitled to reinstatement under the terms of this Executive Order and to impress upon them the advantages of this opportunity to return to good standing.
5. That insofar as any provision of the Constitution is inconsistent with the terms of this Executive Order, the same is hereby set aside for the duration of the period of amnesty as aforesaid.

RESOLUTION
WHEREAS, IN THE SPIRIT OF Masonic Brotherhood, it is the desire of ___________________ Chapter No. _______ R.A.M., to reinstate those Companions who have been suspended for non-payment of dues, and,
WHEREAS, M:.E:. JAMES P. RUDMAN, Grand High Priest of Royal Arch Masons of Florida, has issued Executive Order No. 1, waiving the Grand Chapter per capita tax for the years of suspension for a Companion who is restored to membership by paying his 2008 dues, and
WHEREAS, it is the desire of this Chapter to waive past dues and reinstatement fees for a Companion who is reinstated under this Executive Order,
THEREFORE, BE IT RESOLVED, that until rescinded by this Chapter or until April 8, 2009, whichever occurs earlier, a Companion of this Chapter who has been su spended for Non-Payment of Dues may be restored to membership by applying for reinstatement and being elected according to the provisions of Appendix A, Uniform Code of Bylaws, Article XIII of the Constitution of the Grand Chapter of the State of Florida, and this Chapter agrees to waive past dues and reinstatement fees, and any By-Law Provisions in conflict are hereby set aside until the above mentioned date.

The Grand Secretary/Recorder has prepared new forms for the Monthly Membership Reports for both the Chapter and the Council, and you will find these new documents in the “Forms and Files” section of the web site.
The forms can be downloaded, completed on your local computer, and then emailed back to the Grand Secretary/Recorder at gyr@flgyr.org, saving on postage, and allowing the information to be updated more quickly. This is the first step towards more automation for the local York Rite Bodies and the Grand York Rite.
